The transaction

Baker Hughes announced an agreement to acquire Chart Industries on July 29, 2025, at $210 per share in cash and a stated enterprise value of $13.6 billion. It announced completion on July 16, 2026. Chart Industries is the industrial equipment company referenced in this brief. [1] [2]

The closing announcement describes complementary thermal management, air and gas handling, and lifecycle service capabilities. [2]

Our interpretation

The AI buildout is becoming
an industrial-systems story.

A customer doesn't ultimately need a collection of components. It needs productive capacity that works.

Power, cooling, fuel, equipment, and construction have to fit together. Our interpretation is that acquisitions across adjacent capabilities can reveal where firms expect a competitive advantage to emerge: coordinating a system rather than supplying one piece of it.

This is the possibility we call a coordination premium. The transaction is relevant to that idea, but it isn't proof of it.

What remains unproven

A larger portfolio isn't
automatically a better outcome.

The acquisition is established. Faster delivery, a durable commercial advantage, and incremental value for shareholders remain separate questions. Integration can create value, consume it, or leave the customer doing much of the same coordination work.

Our current public judgment: the deal is consistent with the industrial-integration thesis. This brief doesn't establish a delivered-capacity advantage or offer a stock recommendation.
